1. Acceptance of Terms

By creating an account or using any part of the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

2. Description of Service

Clio is an AI-powered note-taking and intelligence platform available on iOS, Android, Web, macOS, Windows, and Linux. Features include:

• Note creation, editing, and organization
• AI-assisted writing, chat, and voice conversation
• Document, image, and video generation
• News aggregation and summarization
• Cloud task execution in sandboxed environments
• File storage, sharing, and collaboration
• Music playback and playlist management
• Automation and scheduling

Features may be added, modified, or removed at any time without prior notice.

3. Account Registration

To use Clio, you must sign in with a Google account. You are responsible for:

• Maintaining the security of your account credentials
• All activity that occurs under your account
• Notifying us promptly of any unauthorized use

You must be at least 13 years old to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms.

4. User Content

4.1 Ownership

You retain all rights to the content you create, upload, or store in Clio ("User Content"). We do not claim ownership of your notes, files, documents, or any other content you produce.

4.2 License to Us

By using the Service, you grant us a limited, non-exclusive license to host, store, transmit, and display your User Content solely to provide and improve the Service. This license ends when you delete your content or account.

4.3 Shared Content

When you share content with other users, you grant those users the ability to view and access that content. You are responsible for managing who has access to your shared content.

4.4 AI-Generated Content

Content generated by AI features (text, images, videos, documents, code) is provided "as is." You are responsible for reviewing and verifying AI-generated content before use. We make no guarantees about the accuracy, completeness, or appropriateness of AI outputs.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe on the intellectual property rights of others
• Upload or distribute malware, viruses, or harmful code
• Harass, abuse, or threaten other users
• Generate or distribute illegal, harmful, or deceptive content
• Attempt to gain unauthorized access to the Service or its infrastructure
• Use the AI features to generate content that impersonates real people
• Interfere with or disrupt the Service's operation
• Circumvent any rate limits, access controls, or security measures
• Use automated tools to scrape, crawl, or extract data from the Service

6. Third-Party Services

Clio integrates with third-party services including but not limited to:

• Google — Authentication (Google Sign-In), Calendar, Drive, Gmail
• OpenAI — AI text generation, image generation, voice chat
• Anthropic — AI text generation (Claude)
• Google AI — Gemini models for text and image generation
• Supabase — Database, authentication, file storage
• ElevenLabs — Text-to-speech and audio generation

Your use of these integrations is subject to each provider's terms of service and privacy policy. We are not responsible for the practices of third-party services.

7. Cloud Execution

Certain features run code in sandboxed cloud environments. You acknowledge that:

• Code execution occurs in isolated containers with limited resources
• Generated artifacts (files, websites, applications) are stored in cloud storage
• Published websites and shared artifacts are accessible via public URLs
• We may impose usage limits on cloud execution resources

8. Intellectual Property

The Service, including its design, code, features, and branding, is owned by us and protected by applicable intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding.

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or engage in conduct that we reasonably believe is harmful to the Service or other users.

Upon termination, your right to use the Service ceases. We may retain or delete your data in accordance with our Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• AI-generated content will be accurate, complete, or appropriate
• Data will be preserved indefinitely
• The Service will meet your specific requirements

11. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, or goodwill, arising from your use of or inability to use the Service.

Our total liability for any claim related to the Service shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

14. Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in King County, Washington.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or via email. Your continued use of the Service after such changes constitutes acceptance.
